Job Description:
At Regions, the Corporate Development Mergers and Acquisitions Analyst supports the Bank in various facets of M&A transactions such as analysis, evaluation, and integration. The M&A Analyst may either work on the Analysis and Evaluation side (pre-deal) or the Integration side (post).
Mergers & Acquisitions - Analysis/Evaluation
At Regions, the Mergers & Acquisitions (M&A) Analyst supports the execution of acquisition transactions through supporting strategy development, diligence, and execution. Critical to this role is performing qualitative and quantitative analysis of potential acquisitions and researching potential M&A segments and sellers.
Mergers & Acquisitions - Integration
The Integration function supports the process by focusing on due diligence activities and the successful and effective integration of acquired businesses. This involves analysis and the procurement of materials to support collaboration, coordination, and communication across the enterprise. This position will produce analytical outputs and other deliverables in support of the integration process.
Primary Responsibilities
Mergers & Acquisitions - Analysis/Evaluation
Develops and prepares quantitative and qualitative analyses to support the M&A evaluation and/or divestiture processes.
Performs pro forma financial analysis, budgeting/forecasting, business valuations, and assists in the preparation of financial models and other materials to be used in presentations and as support for deal transactions
Supports the M&A process by providing and running financial models and analytical tools that value acquisition candidates
Provides analytical support for corporate strategic analysis on company wide initiatives.
Provides analytical support of potential transactions, evaluating the pro forma impact on Regions and attractiveness of transactions; assists in the preparation of pro forma financial analysis, budgeting/forecasting, business valuations, and the preparation of financial models and materials
Prepares communications materials and perspectives on business segments and acquisition candidates including developing materials in response to market transactions
Researches potential M&A segments and sellers in support of M&A strategies
Maintains libraries of bank analysis and research, including the team's models, analytic tools, capabilities, and templates
Participates in stages of the life cycle of an actual transaction including assisting in organizing and participating in due diligence
Fosters relationships with key partners
Mergers & Acquisitions - Integration
Prepares materials and reports related to the integration process
Assists in monitoring potential impacts to the Bank resulting from transactions
Prepares communications materials and perspectives on business segments and acquisition candidates including developing materials in response to market transactions
Maintains libraries of materials used to drive effective integration outcomes, including maintenance of the Bank's M&A playbooks
Collaborates with management on potential integration roadblocks during the transaction evaluation process
Fosters relationships with key partner
This position is exempt from timekeeping requirements under the Fair Labor Standards Act and is not eligible for overtime pay.
Requirements
Bachelor's degree in a related field
Two (2) years of experience in professional corporate finance advisory functions, financial services, finance, accounting, management consulting, or investment banking
Preferences
Master's degree
Experience analyzing financial performance
Skills and Competencies
Ability to build advanced financial models for mergers and acquisitions and proformas
Ability to effectively communicate and present data to senior members of the Corporate Development team, the M&A Integration teams, and various stakeholders
Ability to effectively work in a team environment
Advanced Microsoft Office Skills (Excel, Powerpoint, Power BI)
General understanding of accounting concepts
General understanding of bank balance sheet and income statement
General understanding of Corporate Finance concepts specific to Bank M&A, including: Earnings per share (EPS) Accretion Analysis, Internal Rate of Return (IRR) analysis, Net present value (NPV) analysis, and Tangible Book Value (TBV) Dilution and Payback Analysis
General understanding of how to analyze strategic value of M&A targets
