This position will provide legal support for risk management/insurance matters, key agreements, strategic corporate transactions and assist in the oversight of the company’s corporate governance program. This individual will be an integral member of the legal department and operate independently in a dynamic environment to support the growing and diverse legal needs of the organization. Attorney will work directly with and advise key decision-makers in contract negotiations and other business arrangements, including identifying and proposing solutions to key business issues and managing risk.
Job Function 1:Risk Management/Insurance - 40%
Maintain responsibility and accountability for managing risk by evaluating legal issues proactively and responsively, ensuring that actions, behaviors, and guidance follow the best interests of the organization, employing sound judgment and legal analysis while adhering to the highest ethical and professional standards.
Work closely with insurance broker, insurance carriers, third-party risk management companies and company leaders to gather and furnish current company data to outside professionals.
Collaborate with third-party administrator and outside counsel in defense of claims for all lines of coverage, including workman’s compensation claims, property and causality claims, and management liability claims and other claims.
Job Function 2:Vendor Management/Vendor Contracts - 25%
Draft, review and negotiate contracts for new vendors/contractors.
Ensure compliance with vendor management process and procedure.
Job Function 3:Health & Welfare Division - 15%
Work directly with and advise key decision-makers in company’s Health & Welfare division in contract negotiations and other business arrangements, including identifying and proposing solutions to key business issues and managing risk.
Job Function 4:Corporate Governance/SEC Filings - 10%
Work on various corporate governance matters, including preparation of minutes, resolutions, and certificates.
Assist with various SEC filings.
Job Function 5:Mergers & Acquisitions - 10%
Manage and/or assist with, as directed, M&A transactions.
Review, draft and negotiate transaction documents such as asset purchase agreements.
Review, draft and negotiate ancillary agreements such as LOIs, confidentiality agreements, and assignment agreements.
Conduct and coordinate M&A due diligence.
Job Function 6:Subpoenas, Levies & Garnishments - 5%
Manage all company responses to subpoenas, levies, and garnishments.
Good standing in applicable state bar.
5-8 years of in-house counsel or comparable law firm experience with emphasis on commercial insurance products and a variety of corporate matters.
Experience working with health and welfare plans preferred.
Excellent contract drafting and written communication skills.
Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization.
Strong negotiating skills with both legal and financial/commercial issues.
Ability to establish and maintain strong relationships within the organization’s legal department and across all businesses.
Ability to work independently with little or no supervision.

Ability to operate a personal computer/laptop for approximately 8 hours per day.
Extended time is spent reviewing physical and electronic documents.
The employee is occasionally required to stand, walk, reach with arms and hands, climb or balance, and to stoop, kneel, crouch or crawl. Vision abilities required by this job include close vision.
Periodically, may also do light lifting of supplies and materials which weighs in at approximately 20 lbs.
Will spend most of time in an indoor environment.
